These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether a visitor, merchant, agent, distributor, partner, developer or end-user, together referred to as "you", "your") and CoolPay India Digital Services Private Limited ("CoolPay", "we", "us", "our") governing your access to and use of our website coolpay.in, our platforms, applications, APIs, dashboards, tools, documentation and related services (collectively, the "Services").
By accessing, browsing or using the Services, or by clicking "I agree" during onboarding, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.
1. Eligibility
You must be at least 18 years old and legally competent to enter into a contract under the Indian Contract Act, 1872 to use the Services. If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.
2. Nature of Services
CoolPay provides fintech infrastructure — including white-label platforms, payment APIs, AEPS, DMT, BBPS, UPI, KYC and payout APIs, custom software, mobile and web applications, and related developer tools. CoolPay is a technology service provider and, unless expressly stated, does not itself hold customer funds, provide banking services, or act as a financial institution. Underlying payment, banking and settlement services are provided by our licensed partners such as banks, NBFCs, payment aggregators and NPCI, and are subject to their respective terms.
3. Account registration and KYC
- You must provide accurate, complete and current information during onboarding.
- You are responsible for maintaining the confidentiality of your credentials, API keys and access tokens, and for all activity that occurs under your account.
- You will complete KYC / AML checks as required by law and by our banking partners; failure to complete or renew KYC may result in suspension.
- Notify us immediately at admin@coolpayindia.com of any unauthorised access.
4. Acceptable use
You agree not to, and not to allow any third party to:
- Use the Services for any unlawful, fraudulent, abusive or misleading purpose.
- Facilitate money laundering, terrorist financing, gambling not permitted in India, adult / obscene content, weapons, narcotics or any activity prohibited by RBI or applicable law.
- Reverse engineer, decompile, or attempt to derive the source code of the Services.
- Circumvent rate limits, security features, or make excessive automated requests without prior written consent.
- Resell, sublicense or make the Services available to any third party except as expressly permitted in a signed agreement.
- Infringe intellectual property, privacy, publicity or contractual rights of any party.
5. Fees, invoicing and taxes
- Fees are as agreed in your commercial proposal, order form or subscription plan.
- Unless otherwise stated, fees are exclusive of GST and any other applicable taxes, which will be charged additionally at the prevailing rate.
- Invoices are payable within the credit period stated on the invoice. Overdue amounts may attract interest at 1.5% per month or the maximum permitted by law.
- We reserve the right to suspend Services for non-payment after reasonable notice.
6. Transactions, chargebacks and reversals
All transactions are subject to the rules of the underlying rails (UPI, IMPS, NEFT, RTGS, AePS, BBPS, card networks) and the terms of our banking / aggregator partners. In case of failed, disputed or reversed transactions, CoolPay will facilitate resolution as per the timelines mandated by RBI and NPCI. See our Refund Policy for details.
7. Intellectual property
All intellectual property rights in the Services, including the underlying software, APIs, documentation, trademarks, logos and content, are and shall remain the exclusive property of CoolPay or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services during the term of your agreement, solely for its intended purpose. Any custom deliverables (source code, artwork, designs) developed under a signed statement of work will be governed by that document's IP terms.
8. Third-party services
The Services may integrate with or link to third-party products, APIs or websites. Your use of such third-party services is at your own risk and is subject to their terms. CoolPay is not responsible for the availability, accuracy or reliability of any third-party service.
9. Confidentiality
Each party shall keep the other's Confidential Information strictly confidential, use it only for the purposes of these Terms and protect it with at least reasonable care. Confidential Information does not include information that is or becomes public without breach, is independently developed, or is rightfully received from a third party without confidentiality restriction.
10. Warranty disclaimer
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, CoolPay disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. CoolPay does not warrant that the Services will be uninterrupted, secure or error-free, or that transaction rails operated by third parties will be continuously available.
11. Limitation of liability
To the maximum extent permitted by law, CoolPay's aggregate liability arising out of or in connection with these Terms shall not exceed the fees paid by you to CoolPay during the six (6) months immediately preceding the event giving rise to the claim. In no event shall CoolPay be liable for indirect, incidental, special, punitive or consequential damages, or loss of profits, revenue, data or goodwill, even if advised of the possibility of such damages.
12. Indemnity
You agree to indemnify, defend and hold harmless CoolPay, its affiliates, officers, directors, employees and partners from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with (i) your breach of these Terms; (ii) your violation of applicable law; or (iii) your use of the Services in an unauthorised or unlawful manner.
13. Suspension and termination
We may suspend or terminate your access to the Services immediately, with or without notice, if (i) you materially breach these Terms; (ii) we are directed to do so by a regulator, court or banking partner; or (iii) we reasonably believe your activity poses a security, legal or reputational risk. Upon termination, all licences granted to you shall cease; provisions that by their nature should survive termination will survive.
14. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably. Failing which, the dispute shall be finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by CoolPay. The seat and venue of arbitration shall be Bhopal, Madhya Pradesh, and the language of arbitration shall be English. Subject to the above, courts at Bhopal shall have exclusive jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time to reflect changes in law, regulation or our Services. Material changes will be notified by email or in-product notice at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
